SPIN A FRIEND, INC.

Digital Music Distribution Agreement — Terms and Conditions

Last updated: September 11, 2026

This Digital Music Distribution Agreement (“Agreement”) is entered into between Spin A Friend, Inc. (“Spin A Friend,” “Company,” “we,” “us,” or “our”) and the artist, performer, producer, label, company, or other rights holder accepting this Agreement (“Artist,” “you,” or “your”).

By creating an account, submitting Content, checking an acceptance box, electronically accepting this Agreement, purchasing a service, or otherwise using Spin A Friend’s services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions.

1. Digital Distribution Services

Spin A Friend may distribute, deliver, administer, and make available the Artist’s approved sound recordings, music videos, artwork, metadata, and related materials (“Content”) to authorized digital streaming services, download stores, social-media platforms, user-generated-content services, and other digital outlets.

Spin A Friend may determine which digital platforms, services, and territories are available for distribution based on its current distribution network, platform requirements, licensing arrangements, technology, and business relationships.

2. Ownership of Content

The Artist retains ownership of all copyrights and other intellectual-property rights the Artist legally owns in the Content.

Nothing in this Agreement transfers ownership of the Artist’s copyrights, master recordings, compositions, trademarks, or other intellectual-property rights to Spin A Friend.

Spin A Friend receives only the limited rights necessary to provide the services authorized under this Agreement.

3. Authorization to Distribute

During the Term of this Agreement, the Artist grants Spin A Friend a non-exclusive, worldwide license to:

  • Reproduce and digitally deliver the Content;
  • Distribute the Content through participating digital platforms;
  • Make the Content available for streaming, downloading, sales, social-media use, and other authorized digital uses;
  • Transmit audio files, artwork, metadata, credits, copyright information, songwriter information, ISRCs, UPCs, and other required release information;
  • Use the Artist’s approved name, stage name, photographs, likeness, artwork, logos, music titles, and biographical information as reasonably necessary to distribute, market, display, and promote the Content; and
  • Provide Content and related information to Spin A Friend’s authorized distribution, technology, payment, rights-management, and service partners as necessary to perform the services.

The rights granted under this section are limited to providing, administering, and promoting the services authorized by the Artist under this Agreement.

4. Artist Representations and Warranties

The Artist represents, warrants, and agrees that:

  1. The Artist has the legal authority to enter into this Agreement.
  2. The Artist owns or controls, or has obtained, all necessary rights, licenses, permissions, and consents required to distribute and monetize the Content.
  3. The Content does not knowingly infringe any copyright, trademark, publicity right, privacy right, contractual right, or other proprietary right of another person or entity.
  4. All samples, interpolations, beats, compositions, recordings, performances, artwork, photographs, videos, names, likenesses, and other materials included in the Content have been properly licensed or cleared when required.
  5. All featured artists, producers, songwriters, musicians, performers, labels, publishers, and other contributors have provided any permissions necessary for the intended use and distribution.
  6. All metadata, credits, ownership information, songwriter information, copyright information, and payment information supplied to Spin A Friend are accurate to the best of the Artist’s knowledge.
  7. The Artist will not knowingly submit fraudulent, stolen, misleading, unauthorized, counterfeit, or illegally obtained Content.
  8. The Artist will not submit Content if doing so would violate another distribution, label, licensing, publishing, management, or other agreement.

5. Copyright Infringement and Rights Clearance

Spin A Friend does not authorize copyright infringement or the unauthorized use of another person’s intellectual property.

The Artist is solely responsible for obtaining all necessary licenses, permissions, and clearances before submitting Content.

Content containing unauthorized samples, recordings, compositions, artwork, photographs, trademarks, or other third-party materials may be rejected, suspended, withheld, disabled, or removed.

If Spin A Friend receives a credible copyright complaint, infringement claim, platform notice, legal demand, or other rights dispute involving Content, Spin A Friend may suspend or remove the affected Content while the matter is investigated or resolved.

5.1 Uncleared Samples Prohibited

The Artist shall not submit any Content containing uncleared samples. An “uncleared sample” means any portion of a sound recording, composition, or other protected work that the Artist does not have the legal right or permission to use, reproduce, distribute, or monetize.

Before submitting Content that incorporates any sample, interpolation, replay, or portion of another work, the Artist must obtain all necessary master-use and mechanical licenses, permissions, clearances, and consents from the applicable rights holders.

Content containing uncleared, unauthorized, or improperly licensed samples is strictly prohibited and may be rejected, suspended, withheld, disabled, removed, or made subject to takedown without prior notice.

5.2 Non-Exclusive Leased Beats Prohibited

The Artist shall not submit Content built on non-exclusive leased beats. A “non-exclusive leased beat” means an instrumental, beat, or musical composition that the Artist has licensed on a non-exclusive basis from a producer, beat-maker, marketplace, or other third party where the same or substantially similar beat is simultaneously licensed to, or available for use by, other artists.

Non-exclusive beat leases, lease-to-own arrangements that have not been fully converted to exclusive ownership, and any beat license that does not grant the Artist exclusive distribution and monetization rights are not permitted for distribution through Spin A Friend.

Before submitting Content that incorporates a beat or instrumental created by a third party, the Artist must hold an exclusive license or assignment that grants the Artist the right to distribute and monetize the resulting recording without conflict with any other party’s rights.

Content containing non-exclusive leased beats is strictly prohibited and may be rejected, suspended, withheld, disabled, removed, or made subject to takedown without prior notice.

6. Artificial Intelligence, AI-Generated, and AI-Assisted Content

Spin A Friend recognizes that artists, producers, labels, songwriters, and other creators may use artificial intelligence (“AI”) and machine-learning technologies as part of the creative process.

For purposes of this Agreement, “AI Content” means any sound recording, composition, vocal performance, instrumental performance, artwork, image, video, metadata, or other material that is created, generated, modified, enhanced, reproduced, synthesized, or materially assisted through an artificial-intelligence, machine-learning, generative-AI, voice-synthesis, voice-cloning, image-generation, or similar automated technology.

The use of AI does not by itself prohibit Content from being submitted to Spin A Friend. However, all AI Content remains subject to this Agreement, applicable law, and the policies and eligibility requirements of participating digital platforms.

6.1 Artist Responsibility for AI Content

The Artist is solely responsible for determining whether the Artist has sufficient legal rights to submit, distribute, monetize, license, and otherwise use any AI Content.

The Artist represents and warrants that any AI Content submitted to Spin A Friend:

  1. May lawfully be distributed and monetized by the Artist;
  2. Does not infringe or misappropriate another person’s copyright, trademark, publicity right, privacy right, contractual right, voice, likeness, identity, or other proprietary right;
  3. Does not contain unauthorized copyrighted recordings, compositions, vocals, artwork, images, performances, or other protected materials;
  4. Does not unlawfully imitate, reproduce, clone, or impersonate another person’s voice, likeness, identity, or performance;
  5. Was created using AI technology in a manner consistent with the terms governing the Artist’s use of the applicable AI service or technology; and
  6. Is otherwise eligible for distribution under applicable digital-platform rules.

6.2 AI-Assisted Music

The Artist may use AI as a creative or production tool, including for:

  • Mixing or mastering;
  • Noise reduction or audio restoration;
  • Instrument generation or enhancement;
  • Production assistance;
  • Music arrangement;
  • Lyric assistance;
  • Sound design;
  • Vocal processing;
  • Artwork creation;
  • Metadata assistance; or
  • Other lawful creative uses.

Use of AI as part of the production process does not relieve the Artist of responsibility for ensuring that the finished Content may lawfully be distributed and monetized.

6.3 Fully AI-Generated Music

Spin A Friend may accept fully or substantially AI-generated Content when such Content is permitted by applicable law, Spin A Friend’s policies, its distribution partners, and applicable digital platforms.

Spin A Friend does not guarantee that fully AI-generated Content will be accepted, distributed, monetized, eligible for copyright protection, eligible for Content ID, or maintained by any particular platform.

Digital platforms may establish different rules concerning AI-generated recordings, compositions, vocals, artwork, or other materials and may change those rules at any time.

6.4 Rights in AI-Generated Output

The Artist is responsible for understanding the ownership and commercial-use rights associated with every AI system used to create Content.

The Artist shall not submit AI Content unless the Artist has sufficient rights under the applicable AI provider’s terms, licenses, and applicable law to commercially distribute and monetize the resulting Content.

Spin A Friend makes no representation or warranty regarding whether AI-generated material is eligible for copyright protection or other intellectual-property protection.

Questions concerning copyrightability, authorship, ownership, or enforceability of rights in AI-generated works remain the responsibility of the Artist.

6.5 Training Data and Third-Party Materials

The Artist shall not knowingly submit Content generated through the unauthorized use of copyrighted recordings, compositions, performances, voices, artwork, photographs, or other protected materials where such use would make the resulting Content unlawful or infringing.

The Artist is responsible for ensuring that the Artist’s use of an AI tool, model, dataset, reference file, uploaded recording, voice model, prompt input, or other source material complies with applicable law and any applicable licenses or permissions.

Spin A Friend is not responsible for investigating or verifying the training datasets, underlying models, source materials, or technologies used by third-party AI providers.

6.6 Voice Cloning, Digital Replicas, and Impersonation

The Artist may not submit Content that unlawfully clones, simulates, imitates, or creates a digital replica of another person’s voice, likeness, identity, appearance, or performance.

If AI technology is used to reproduce or simulate the identifiable voice, likeness, or performance of another person, the Artist represents and warrants that the Artist has obtained all legally required permissions, licenses, releases, and consents.

This requirement applies whether the person is:

  • Living or deceased;
  • Famous or unknown;
  • An artist, performer, celebrity, public figure, or private individual; or
  • Identified expressly or reasonably recognizable from the resulting Content.

Spin A Friend may reject, suspend, or remove Content that appears to contain unauthorized voice cloning, likeness simulation, impersonation, deceptive digital replicas, or other unauthorized uses of a person’s identity.

6.7 Misleading Artist Identity

The Artist shall not use AI to falsely represent that a recording was created, performed, endorsed, authorized, or released by another artist, songwriter, producer, celebrity, label, or person.

AI Content may not be submitted under another person’s artist name, identity, brand, likeness, or persona without appropriate authorization.

Metadata, titles, artwork, artist names, credits, and promotional materials associated with AI Content must not be materially false, deceptive, or misleading.

6.8 AI Disclosure and Metadata

Spin A Friend may require the Artist to disclose whether Content is:

  • Fully AI-generated;
  • Materially AI-generated;
  • AI-assisted;
  • Created using synthetic vocals;
  • Created using voice cloning or voice synthesis; or
  • Otherwise subject to an AI-related disclosure requirement imposed by a digital platform or applicable law.

The Artist agrees to provide truthful and accurate AI-related information when requested.

Spin A Friend may transmit AI-related disclosures, labels, metadata, or other information to digital platforms where required or reasonably necessary.

Failure to accurately disclose material AI use when required may result in rejection, suspension, removal, withholding of services, or termination of the Artist’s account.

6.9 Digital Platform AI Policies

The Artist acknowledges that digital music stores, streaming platforms, social-media platforms, and other distribution outlets may establish their own rules concerning AI Content.

A platform may independently:

  • Accept or reject AI-generated Content;
  • Require AI labeling or disclosure;
  • Restrict synthetic vocals or digital replicas;
  • Deny monetization;
  • Limit recommendation or discovery features;
  • Restrict Content ID eligibility;
  • Remove Content; or
  • Change its AI policies at any time.

Spin A Friend does not control these policies and does not guarantee acceptance, continued availability, monetization, copyright recognition, recommendation, or other treatment of AI Content by any particular platform.

6.10 AI Content and YouTube Content ID

Submission of AI Content for standard digital distribution does not automatically make that Content eligible for YouTube Content ID, audio fingerprinting, rights-management, or media-detection services.

The Artist shall not submit AI Content to Content ID or similar rights-management systems unless the Artist has sufficient exclusive or otherwise qualifying rights to do so under the applicable platform’s policies.

Content may be ineligible for Content ID where, among other reasons:

  • The Artist does not control sufficient exclusive rights;
  • The Content is substantially composed of non-exclusive AI-generated material;
  • The same or substantially similar AI-generated material is available to multiple users;
  • The Content contains stock, licensed, public-domain, loop-based, or other non-exclusive material that does not meet the platform’s eligibility rules; or
  • The applicable platform or rights-management provider otherwise determines that the Content is ineligible.

Spin A Friend may reject, disable, release, or remove a Content ID claim involving AI Content if Spin A Friend or its service providers determine that the applicable rights are insufficient, disputed, non-exclusive, or otherwise ineligible.

6.11 False or Improper AI Content ID Claims

The Artist shall not knowingly use AI-generated or AI-assisted Content to assert improper copyright or Content ID claims against another person.

The Artist must not knowingly enroll Content in a rights-management system when the Artist lacks the rights necessary to claim or monetize third-party uses.

Spin A Friend may immediately suspend Content ID or rights-management services where improper, abusive, fraudulent, duplicate, or unsupported claims are suspected.

The Artist remains responsible for claims resulting from rights information supplied by the Artist.

6.12 AI Artwork and Visual Materials

AI-generated or AI-assisted cover artwork, promotional images, videos, photographs, logos, and other visual materials are subject to the same ownership and rights requirements as other Content.

The Artist shall not submit AI-generated visual materials that unlawfully reproduce or imitate protected characters, trademarks, logos, photographs, artwork, likenesses, or other third-party intellectual property.

Spin A Friend may reject artwork or visual Content that appears to violate the rights of another party or the policies of a participating digital platform.

6.13 Prohibited Deceptive AI Use

The Artist shall not use Spin A Friend to knowingly distribute AI Content created for unlawful or materially deceptive purposes, including Content intended to:

  • Fraudulently impersonate another artist or person;
  • Misrepresent the participation or endorsement of another person;
  • Defraud listeners, platforms, advertisers, or rights holders;
  • Circumvent copyright enforcement systems;
  • Manipulate digital streaming activity;
  • Generate fraudulent royalties; or
  • Violate applicable law.

6.14 AI Rights Disputes

If Spin A Friend receives a complaint alleging that AI Content violates another party’s copyright, voice rights, likeness rights, publicity rights, trademark rights, privacy rights, or other rights, Spin A Friend may suspend, restrict, disable, or remove the affected Content while the matter is reviewed.

Spin A Friend may request documentation demonstrating the Artist’s rights, including licenses, permissions, AI service terms, releases, contracts, source files, creation records, or other evidence reasonably relevant to the dispute.

Failure to provide sufficient documentation may result in continued suspension or permanent removal of the affected Content.

6.15 Changes in AI Law and Platform Requirements

The Artist acknowledges that laws, regulations, court decisions, industry practices, copyright standards, and digital-platform requirements concerning artificial intelligence are evolving.

Spin A Friend may modify its AI-related requirements, eligibility standards, disclosures, delivery practices, and Content policies when reasonably necessary to comply with:

  • Applicable law;
  • Court or governmental requirements;
  • Distribution-partner requirements;
  • Digital-platform policies;
  • Copyright or rights-management requirements; or
  • Changes in technology and industry standards.

Content that was previously accepted may become subject to additional disclosures, restrictions, suspension, or removal if applicable requirements change.

6.16 No Warranty Regarding AI Content

Spin A Friend does not warrant or guarantee that:

  • AI Content will qualify for copyright protection;
  • The Artist will obtain exclusive rights in AI-generated output;
  • AI Content will be accepted by any digital platform;
  • AI Content will qualify for monetization;
  • AI Content will qualify for YouTube Content ID or other rights-management services;
  • An AI provider has lawfully trained its technology or models; or
  • An AI-generated output will be free from similarities to third-party material.

The Artist assumes responsibility for evaluating the legal and commercial suitability of AI technologies used in connection with the Artist’s Content.

6.17 Indemnification for AI Content

The indemnification obligations contained in this Agreement also apply to claims arising out of or relating to AI Content submitted by the Artist, including claims involving:

  • Copyright infringement;
  • Unauthorized voice cloning;
  • Unauthorized digital replicas;
  • Misappropriation of likeness or identity;
  • Trademark infringement;
  • False endorsement;
  • Privacy or publicity rights;
  • Improper Content ID claims;
  • Fraudulent or deceptive AI use; or
  • The Artist’s violation of an AI provider’s applicable terms or licenses.

6.18 Artist Acknowledgment Regarding AI

By submitting AI-generated or AI-assisted Content to Spin A Friend, the Artist acknowledges and agrees that:

  1. The Artist remains responsible for determining whether the Content may legally be distributed and monetized.
  2. Spin A Friend does not acquire ownership of the Artist’s Content merely because AI technology was used in its creation.
  3. The Artist must possess all rights, permissions, licenses, and consents necessary for any protected material, voice, likeness, or identity used in the Content.
  4. AI-generated Content may be subject to different copyright protections than traditionally created works.
  5. Digital platforms may impose additional restrictions, disclosures, labeling requirements, monetization rules, or eligibility requirements on AI Content.
  6. AI Content is not automatically eligible for YouTube Content ID or other rights-management services.
  7. Spin A Friend may reject, suspend, restrict, or remove AI Content when reasonably necessary to comply with law, platform policies, distribution requirements, third-party rights, or this Agreement.
  8. The Artist is responsible for the accuracy of all representations and disclosures concerning the use of artificial intelligence in submitted Content.

7. Third-Party Claims

If a third party claims that Content distributed through Spin A Friend infringes or violates that party’s rights, the Artist agrees to cooperate in good faith with Spin A Friend in investigating and resolving the claim.

Spin A Friend may provide relevant information to a complaining party, platform, distributor, rights administrator, payment provider, service provider, or appropriate governmental or legal authority when reasonably necessary to investigate or resolve a dispute, comply with law, or protect legitimate rights.

8. Content Review, Rejection, and Takedown

Spin A Friend reserves the right to reject, suspend, restrict, disable, or remove Content when reasonably necessary, including when:

  • The Content is alleged to infringe another party’s rights;
  • The Artist cannot demonstrate required ownership, licenses, or permissions;
  • The Content violates a digital platform’s rules or policies;
  • The Content contains fraudulent, deceptive, misleading, or inaccurate information;
  • The Content is associated with artificial streaming or manipulation;
  • The Content is subject to a legitimate legal complaint or governmental request;
  • The Artist materially breaches this Agreement; or
  • Removal is reasonably necessary to protect Spin A Friend, its distribution partners, artists, users, or third parties.

The Artist may also request a takedown of Content, subject to applicable platform processing times, legal obligations, outstanding balances, and contractual requirements.

9. Subscriptions, Service Fees, and Other Charges

Spin A Friend may charge subscription fees, add-on fees, release-related charges, administrative fees, or fees for optional services separately selected or authorized by the Artist.

Any such fees are separate from the Artist’s ordinary digital music royalties unless this Agreement expressly states otherwise.

Spin A Friend does not deduct a distribution commission from eligible standard digital music royalties solely for providing standard digital distribution services.

The Artist remains responsible for any subscription fees, add-ons, optional services, taxes, payment-processing charges, chargebacks, returned-payment costs, or other fees properly disclosed and authorized under this Agreement or through the Artist’s account.

10. Payment Method and Authorization to Charge

By providing a credit card, debit card, bank account, or other approved payment method, the Artist authorizes Spin A Friend and its authorized payment processor to charge the payment method on file for amounts properly due and authorized under this Agreement.

Authorized charges may include:

  • Subscription fees;
  • Account fees;
  • Add-on fees;
  • Release-related fees;
  • Administrative or service fees;
  • Optional Content ID or rights-management service charges, if separately applicable;
  • Marketing or promotional services expressly ordered by the Artist;
  • Taxes and government-required charges;
  • Chargeback or returned-payment costs where permitted; and
  • Other charges expressly disclosed to and authorized by the Artist.

10.1 Continuing Authorization

The Artist’s payment authorization remains effective for the duration of the applicable subscription, service, payment plan, or outstanding payment obligation unless revoked in accordance with applicable law and Spin A Friend’s cancellation procedures.

Revoking authorization for future charges does not eliminate amounts that became due before the revocation.

10.2 Recurring Charges

If the Artist purchases a recurring subscription or other recurring service, the Artist authorizes Spin A Friend or its payment processor to charge the payment method on file according to the disclosed billing schedule until the applicable subscription or recurring service is canceled or terminated.

The Artist is responsible for maintaining a valid payment method.

10.3 Failed Payments

If a payment is declined, reversed, returned, disputed, or otherwise unsuccessful, Spin A Friend may, subject to applicable law:

  1. Retry the payment;
  2. Request another payment method;
  3. Suspend or restrict affected services;
  4. Delay delivery of new releases;
  5. Prevent new submissions until the balance is resolved; or
  6. Recover applicable chargeback or returned-payment costs where permitted.

10.4 No Unauthorized Charges

Spin A Friend will charge the Artist only for amounts authorized under this Agreement, services selected by the Artist, or amounts otherwise permitted by applicable law.

The Artist should promptly contact Spin A Friend regarding any charge the Artist believes was made in error.

11. Digital Music Royalties

11.1 Artist Receives 100% of Net Royalties

Spin A Friend shall account to the Artist for 100% of net royalties actually received by Spin A Friend from participating digital music stores, streaming services, and other standard digital music distribution platforms attributable to the Artist’s Content.

Spin A Friend shall retain no distribution commission from those net royalties.

The Artist’s royalty amount may nevertheless be affected by:

  • Platform-level deductions;
  • Taxes required by law;
  • Refunds;
  • Chargebacks;
  • Fraud-related adjustments or holds;
  • Currency conversions or adjustments;
  • Corrections made by a digital platform; and
  • Other deductions imposed by the applicable platform or required by law.

Subscription fees, add-on charges, and separately purchased services do not reduce the Artist’s net royalty percentage unless expressly stated in a separate authorized transaction.

11.2 Payout Processing Fees and Minimum Withdrawal

Payout processing fees may be deducted from royalty payouts at the time of withdrawal. Such fees cover the costs of payment processing, bank transfers, and related administrative expenses.

The minimum withdrawal amount is $10.00 (USD). Payout requests below this threshold will not be processed.

12. Optional YouTube Content ID and Media-Detection Services

Spin A Friend may offer optional YouTube Content ID, audio fingerprinting, media identification, rights-management, content-monitoring, and related monetization services.

These services may identify videos or other media containing eligible recordings supplied by the Artist.

Participation in these services is optional and requires the Artist to affirmatively opt in.

13. Content ID Authorization

By opting into Content ID or another eligible media-detection or rights-management service, the Artist authorizes Spin A Friend and its authorized service providers to:

  • Create or use audio fingerprints;
  • Identify uses of eligible recordings;
  • Monitor participating digital platforms;
  • Place, administer, release, dispute, or manage eligible claims;
  • Monetize eligible uses;
  • Collect applicable revenue;
  • Provide ownership and recording information to participating platforms; and
  • Administer rights necessary to operate the selected service.

The Artist represents that the Artist owns or controls all rights necessary to authorize these activities.

The Artist shall not enroll a recording in Content ID or related rights-management services if doing so would conflict with another party’s ownership, exclusive rights, existing Content ID registration, license, or other agreement.

14. Fifteen Percent Content ID Service Fee

If the Artist opts into YouTube Content ID or another applicable Spin A Friend media-detection, audio-fingerprinting, rights-management, or related monetization service, Spin A Friend shall retain fifteen percent (15%) of the net revenue actually received by Spin A Friend that is generated specifically through that opted-in service.

The Artist shall receive the remaining eighty-five percent (85%) of that applicable net revenue.

For example, if an opted-in Content ID service generates $100.00 in applicable net revenue actually received by Spin A Friend:

  • Spin A Friend retains $15.00; and
  • The Artist receives $85.00.

The 15% fee applies only to revenue generated through eligible Content ID, media-detection, or rights-management services that the Artist has elected to use.

The 15% fee does not apply to the Artist’s ordinary eligible royalties from standard digital music stores and streaming platforms.

Accordingly:

  • Standard Digital Music Distribution: Artist receives 100% of eligible royalties.
  • Optional Content ID / Media Detection / Rights Management: Artist receives 85% of applicable net revenue. Spin A Friend retains 15% of applicable net revenue as its service fee.

15. Accounting and Statements

Spin A Friend will provide accounting information based on reports and payments received from participating digital platforms, Content ID providers, rights-management services, and other applicable service providers.

Where available, statements may separately identify:

  • Standard digital music royalties;
  • Content ID revenue;
  • Media-detection or rights-management revenue;
  • Platform deductions or adjustments;
  • The 15% Content ID or rights-management service fee; and
  • The resulting amount payable to the Artist.

Third-party reporting may be delayed, corrected, or adjusted after an initial statement.

Statements and account balances may therefore be subject to later corrections, refunds, chargebacks, fraud adjustments, currency adjustments, or other changes reported by third-party platforms.

16. Payment Timing

Royalties become eligible for payment after Spin A Friend receives both the applicable funds and sufficient reporting information from the applicable platform or service provider.

Spin A Friend intends to make eligible royalty amounts available through the Artist’s Spin A Friend account on a monthly accounting basis, subject to receipt of funds, reporting availability, fraud reviews, payment-processing requirements, minimum payout requirements if applicable, and other reasonable administrative conditions.

Spin A Friend is not responsible for delays caused by digital platforms, YouTube, Content ID providers, payment processors, banks, reporting schedules, fraud investigations, governmental action, or circumstances outside Spin A Friend’s reasonable control.

17. Streaming Fraud and Artificial Activity

The Artist shall not intentionally generate or encourage artificial streams, downloads, views, clicks, followers, saves, engagement, or other fraudulent activity involving the Content.

Prohibited conduct includes, without limitation:

  • Bots;
  • Click farms;
  • Purchased or guaranteed streams;
  • Fraudulent playlists;
  • Manipulated traffic;
  • Automated listening schemes;
  • Unauthorized incentives intended to manipulate streaming activity; or
  • Any other artificial method designed to increase royalties, rankings, streams, views, downloads, or engagement.

If Spin A Friend or a digital platform identifies suspected artificial or fraudulent activity, Spin A Friend may withhold affected revenue, suspend payments, investigate the activity, suspend or remove Content, terminate services, or take other reasonable action consistent with applicable platform policies and law.

18. Metadata and Release Information

The Artist is responsible for providing accurate release information, including:

  • Artist names;
  • Song titles;
  • Album and single titles;
  • Songwriter and publisher information;
  • Producer and contributor credits;
  • ISRC information, when applicable;
  • UPC/EAN information, when applicable;
  • Release dates;
  • Copyright information;
  • Explicit-content designations;
  • Artwork; and
  • Other information reasonably required for delivery.

Spin A Friend is not responsible for delays, rejections, or other problems caused by inaccurate, incomplete, misleading, or improperly formatted information supplied by the Artist.

19. Artwork and Other Materials

The Artist represents that all artwork, photographs, logos, videos, graphics, and other materials submitted to Spin A Friend are either owned by the Artist or properly licensed for the intended use.

The Artist shall not submit unauthorized copyrighted material, trademarks, photographs, logos, likenesses, or other third-party materials.

20. Conflicting Rights and Agreements

The Artist agrees not to grant another distributor, label, rights administrator, or service provider rights that materially conflict with rights granted to Spin A Friend while the applicable Content remains distributed through Spin A Friend.

The Artist must notify Spin A Friend of any distribution, label, publishing, management, licensing, ownership, Content ID, or other agreement that may materially affect the Content or services.

21. Digital Platform Terms

The Artist acknowledges that digital stores, streaming services, social-media platforms, user-generated-content services, and other digital outlets establish and enforce their own terms, policies, content standards, technical requirements, and eligibility rules.

Spin A Friend does not control those requirements and cannot guarantee that a particular platform will accept, publish, monetize, maintain, or continue offering the Artist’s Content.

Spin A Friend may adjust delivery methods or Content availability when reasonably necessary to comply with platform requirements or changes in the digital music marketplace.

22. Promotional Rights

The Artist grants Spin A Friend permission to use the Artist’s approved name, stage name, likeness, artwork, music titles, release information, and approved promotional materials for purposes reasonably related to:

  • Distribution;
  • Marketing;
  • Promotion;
  • Advertising;
  • Store presentation; and
  • Operation of Spin A Friend’s services.

This permission does not transfer ownership of the Artist’s copyrights or other intellectual property.

23. Term and Termination

This Agreement begins when the Artist accepts it and remains effective while the Artist maintains an account, has Content distributed through Spin A Friend, has unpaid obligations, or otherwise continues using services covered by this Agreement.

Either party may terminate the relationship by providing notice in accordance with Spin A Friend’s applicable procedures.

Spin A Friend may immediately suspend or terminate services when reasonably necessary because of:

  • Copyright infringement;
  • Fraud;
  • Artificial streaming;
  • Illegal activity;
  • Material breach of this Agreement;
  • Repeated platform violations;
  • Nonpayment; or
  • Other serious misconduct.

Termination does not eliminate rights, obligations, payment responsibilities, indemnification obligations, or liabilities that arose before termination.

24. Effect of Termination

Following termination, Spin A Friend may submit takedown requests for Content distributed through its services.

The Artist acknowledges that takedown processing is controlled in part by third-party platforms and may not occur immediately.

Royalties properly earned before termination remain subject to applicable accounting, fraud review, payment-processing procedures, chargebacks, corrections, legal holds, and other authorized adjustments.

Sections that by their nature should survive termination, including ownership, payment obligations, indemnification, disclaimers, limitation of liability, and dispute-related provisions, shall survive termination to the extent permitted by law.

25. Indemnification

To the fullest extent permitted by applicable law, the Artist agrees to indemnify, defend, and hold harmless Spin A Friend, Inc. and its owners, officers, directors, employees, contractors, affiliates, representatives, distribution partners, and service providers from third-party claims, liabilities, damages, judgments, losses, costs, and reasonable expenses arising out of or relating to:

  • The Artist’s breach of this Agreement;
  • Content submitted by the Artist;
  • A claim that the Content infringes or violates another party’s rights;
  • Unauthorized samples, recordings, compositions, artwork, trademarks, or other materials;
  • AI-generated or AI-assisted Content submitted by the Artist;
  • Unauthorized voice cloning, digital replicas, likenesses, or impersonation;
  • Fraudulent or unlawful activity by or on behalf of the Artist; or
  • The Artist’s violation of applicable law or platform rules.

This section applies only to the extent permitted by applicable law.

26. No Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPIN A FRIEND’S SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

Spin A Friend does not represent, warrant, or guarantee that:

  • Any particular digital platform will accept or distribute the Artist’s Content;
  • Content will remain available on any particular platform;
  • Content will generate any particular number of streams, downloads, views, sales, followers, royalties, or revenue;
  • Content will receive playlist placement, promotion, rankings, recommendations, or other exposure;
  • Content ID or media-detection services will identify every unauthorized or monetizable use;
  • Every copyright claim or monetization opportunity will be identified, asserted, or collected;
  • AI-generated Content will qualify for copyright protection, monetization, Content ID, or distribution;
