Digital Millennium Copyright Act Notice and Takedown Procedure

Last updated: October 5, 2026

Spin A Friend, Inc. (“Spin A Friend,” “Company,” “we,” “us,” or “our”) respects the intellectual-property rights of others and expects users of our platform to do the same. This Digital Millennium Copyright Act (“DMCA”) Policy describes how copyright owners or their authorized agents may notify Spin A Friend of allegedly infringing content distributed through our services and how Spin A Friend responds to such notices.

It is Spin A Friend’s policy, in appropriate circumstances and at its discretion, to disable and remove access to content that appears to infringe the copyrights of others, and to terminate the accounts of users who are determined to be repeat infringers.

1. Reporting Copyright Infringement

If you believe that content available through Spin A Friend’s services infringes a copyright that you own or control, you or your authorized agent may submit a written notice (a “DMCA Notice”) to our designated copyright agent identified below.

Under 17 U.S.C. § 512(c)(3), a DMCA Notice must include the following information in writing:

  1. A physical or electronic signature of the copyright owner or a person authorized to act on the owner’s behalf;
  2. Identification of the copyrighted work claimed to have been infringed (or, if multiple works at a single online site are covered by a single notice, a representative list of such works);
  3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity, and that is to be removed or access to which is to be disabled, including information reasonably sufficient to permit Spin A Friend to locate the material (for example, the release title, artist name, track title, ISRC, UPC, and any URL or identifier associated with the content);
  4. Information reasonably sufficient to permit Spin A Friend to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address;
  5. A statement that the complaining party has a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  6. A statement, made under penalty of perjury, that the information in the notification is accurate and that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

2. Designated Copyright Agent

DMCA Notices should be sent to Spin A Friend’s designated copyright agent:

Spin A Friend, Inc.

Attn: Copyright Agent — DMCA

Email: legal@spinafriend.com

For faster processing, please include “DMCA Notice” in the subject line of your email. Only DMCA Notices should be sent to this contact. General support, billing, or account questions will not be processed through this channel.

3. Response to Notices

Upon receipt of a valid DMCA Notice, Spin A Friend will, in its discretion:

  • Take down or disable access to the allegedly infringing material;
  • Make a good-faith attempt to notify the user who submitted the affected content that the material has been removed or access disabled;
  • Forward the notice, or relevant portions of it, to the affected user where appropriate; and
  • Keep a record of the notice in connection with our repeat-infringer policy.

Spin A Friend may request additional information from the complaining party if the notice is incomplete, unclear, or otherwise insufficient under the DMCA.

4. Counter-Notification

If you believe that your content was removed or disabled in error or misidentification, you may submit a counter-notification (a “Counter-Notice”) to our designated copyright agent. Under 17 U.S.C. § 512(g)(3), a Counter-Notice must include:

  1. Your physical or electronic signature;
  2. Identification of the material that has been removed or to which access has been disabled, and the location at which the material appeared before it was removed or access was disabled;
  3. A statement under penalty of perjury that you have a good-faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled;
  4. Your name, address, telephone number, and, if available, an electronic mail address; and
  5. A statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located (or, if your address is outside the United States, for any judicial district in which Spin A Friend may be found), and that you will accept service of process from the person who provided the original DMCA Notice or an agent of that person.

Upon receipt of a valid Counter-Notice, Spin A Friend may provide a copy to the original complaining party and inform that party that Spin A Friend may restore the removed material or cease disabling access to it in ten (10) to fourteen (14) business days, unless our designated agent first receives notice from the complaining party that it has filed an action seeking a court order to restrain the alleged infringer from engaging in infringing activity relating to the material.

5. Repeat Infringers

In accordance with the DMCA and our policies, Spin A Friend may, in appropriate circumstances, terminate the accounts of users who are determined to be repeat infringers. A “repeat infringer” is a user whose content has been the subject of two or more valid DMCA Notices that result in takedown, or who has otherwise engaged in a pattern of infringing activity.

Spin A Friend may also suspend or terminate access to its services where a user’s conduct, regardless of the number of notices, demonstrates a clear disregard for the rights of others.

6. False or Bad-Faith Notices

Any person who knowingly materially misrepresents that material is infringing, or that material was removed or disabled by mistake or misidentification, may be subject to liability under 17 U.S.C. § 512(f) for any damages, including costs and attorneys’ fees, incurred by the alleged infringer or by Spin A Friend as a result of the misrepresentation.

Spin A Friend reserves the right to disregard, challenge, or seek redress for notices that are false, fraudulent, or submitted in bad faith.

7. No Obligation to Act on Insufficient Notices

Spin A Friend is not obligated to act on any notice that does not substantially comply with the requirements of 17 U.S.C. § 512(c)(3) or any other applicable law. Spin A Friend may decline to process notices that are deficient, incomplete, or submitted by a party that appears to lack standing.

8. Non-Retaliation

Spin A Friend prohibits retaliation against any person who, in good faith, submits a DMCA Notice, a Counter-Notice, or otherwise participates in a copyright dispute resolution process under this policy.

9. Copyright Violation Takedowns

In addition to responding to valid DMCA Notices, Spin A Friend reserves the right to proactively remove, disable access to, or withhold distribution of any content that it determines, in its sole discretion, violates the intellectual-property rights of a third party. This includes, without limitation:

  • Uncleared or unauthorized samples embedded in a track or release;
  • Tracks produced using non-exclusive leased beats (e.g., “lease” or “rental” beats) where the user lacks the rights necessary for commercial distribution;
  • Unauthorized cover songs recorded or distributed without a valid mechanical license or the required consent;
  • Content that misappropriates another artist’s name, likeness, recordings, artwork, or other protected material; and
  • Content that Spin A Friend otherwise reasonably believes infringes a copyright or other intellectual-property right.

Where a potential violation is identified — whether through automated screening, a third-party fingerprinting service, a rights-holder report, or internal review — Spin A Friend may suspend delivery, remove the content from its services, and notify the submitting user of the reason and any steps required to resolve the issue. Repeated or willful copyright violations may result in permanent account termination under Section 5 (Repeat Infringers).

A user whose content is removed under this section may submit a Counter-Notice in accordance with Section 4 if they believe the removal was the result of mistake or misidentification.

10. Changes to This Policy

Spin A Friend may update this DMCA Policy from time to time to reflect changes in applicable law, our procedures, or our services. The “Last updated” date above indicates when this policy was last revised. Continued use of Spin A Friend’s services following any change constitutes acceptance of the revised policy to the extent permitted by applicable law.
